Foscadh Housing – Governance and Compliance Manager

The Governance and Compliance Manager role will have a key impact on the operations and reputation of the Association, committed to ‘Growing Communities Together’ with a tenant first service. Job Purpose

  • To be responsible for identifying, advising, monitoring, and reporting on compliance and other risks for Foscadh Housing.
  • To implement and monitor a compliance plan for the Association and act as a link between Foscadh Housing, Local Authorities, Regulatory Authorities, and State Agencies
  • Evaluate new and emerging regulatory requirements from the Housing and Charities Regulator and ensure their incorporation into internal compliance standards, policies and procedures as required.
  • Provide training and support in Risk and Compliance to staff, including Board of Directors.
  • Support and attend the Audit & Risk sub-Committee meetings, (approx. 4 annually) and Board Meetings, (approx. 6 annually).

Main Duties

Governance and Compliance

  1. Identify, manage, and mitigate risk across the Association, ensuring prompt and accurate advice to the business on all compliance and regulatory issues.
  2. Lead and co-ordinate the governance, assurance, and risk accountability framework, quality and regulatory policies and procedures working with the Executive Team and senior managers to identify and effectively manage strategic and operational risks.
  3. Manage Risk Registers and the Association’s compliance policies, engage with staff throughout the Association to ensure registers are properly maintained and maintain the Corporate Services SharePoint page.
  4. Act as a point of communication between Foscadh Housing and regulatory bodies (including the AHB Regulation Office and Charities Regulator) with responsibility for reporting in a timely and accurate manner on corporate procedures and developments.
  5. Work with the Finance Department to ensure the timely preparation of annual audit and regulatory reports.
  6. Ensure that Foscadh Housing complies with its Constitution and all legal and statutory requirements arising therefrom. Monitor changes in relevant legislation and the regulatory environment and taking appropriate action.
  7. Provide advice and support on all other regulatory and compliance matters which may arise from time to time and to lead where appropriate on the delivery of any compliance requirements of Foscadh Housing.
  8. Monitor and review services and policies across the Association, applying skills, knowledge, and good practice to drive service improvements and make recommendations for change.
  9. Complete reports/ submissions for Board meetings as necessary and participate on forums/working groups/committees as required.

Board Management

  1. Provide support to the Management Team and Board of Directors in the preparation of the Board Papers.
  2. Prepare & distribute Board Papers all Board Member correspondence, attend meetings of the Board of Directors, Committees and Working Groups, and take minutes.
  3. Manage Board documentation in compliance with the CRO and terms of reference for each Board Committee along with the Regulator’s requirements.
  4. Maintain minutes books and any statutory books, including registers of members and beneficiaries (internal and external), as required.


  1. Complete reports/ submissions for Board meetings as necessary and participate on forums/working groups/committees as required.
  2. Co-ordinate staff days, Board planning days, conferences, and other events
  3. Conduct all activities in a manner which is safe to the role and others and be aware and act in accordance with the Association’s Health and Safety Policy.
  4. Undertake any training courses deemed necessary for your role if it evolves.
  5. Undertake any other duties which are consistent with the role.
