HAIL – Board Director and Chair of the Finance Committee

Location: Central Hotel Chambers, Dame Court, Dublin 2.

Responsible/Reporting to: Board of Director reporting to the Chair of the Board

Purpose: Responsible for serving as part of the HAIL Board of Directors
and as Chair of the Finance Committee.

Other Information: This is a pro-bono role.
This post requires attendance at Board and Committee meetings, which each take place approximately 5 times a year. The meetings are a mixture of in-person and online, with the in- person meetings taking place in a central Dublin location. The role is for an initial term of five years, with the option to serve a further five years.

HAIL is an Approved Housing Body with over 470 properties across the country.

Purpose Summary

This role will be to Chair the HAIL Board Finance Committee and to serve as part of the Board of Directors, supporting the organisation to provide more homes and support services for our tenants and clients.

Key Role and Responsibilities

  1. The Board as a whole is primarily collectively responsible for the corporate governance of HAIL. The Board’s role is to oversee effectively and prudently the activities of HAIL, taking into consideration the nature, scale and complexity of HAIL’s activities. The Board is responsible for ensuring that risk and compliance is properly managed on behalf of HAIL. The Board’s role is:
    • To develop and promote HAIL’s collective purpose, vision and values in supporting the provision of housing and individually tailored services to support people, primarily those with mental health difficulties, to integrate and live independent lives in the community.
    • To ensure that HAIL’s obligations to its tenants, funders, partners, stakeholders and others are fully understood and met.
    • To provide leadership of HAIL within a framework of prudent and effective controls which enable risk to be assessed and managed;
    • To set HAIL’s strategic objectives, ensure that the necessary financial and human resources are in place for HAIL to meet its objectives, and review management performance.
  2. As a Director of HAIL, you are required to take decisions objectively in the interests of HAIL. In doing so, as a Director, you must have regard (among other matters) to:
    • the likely consequences of any decision in the long term;
    • the interests of HAIL’s employees;
    • the need to foster HAIL’s relationships with its tenants, funders, partners, stakeholders and all others involved with HAIL;
    • the desirability of HAIL maintaining a reputation for high standards of conduct.
  3. In your role as a Board Director and Chair of the Finance Committee, you will be required to Chair / attend 5 Committee and 5 Board meetings on a bimonthly basis. The meetings are a mixture of online and in-person, with the in-person meetings taking place in a central Dublin location. You will also be required to consider all relevant papers prior to each meeting and you may be required to devote additional time to HAIL when it is undergoing a period of particularly increased activity. In your role as a Board Director and Chair of the Finance Committee, you will be required to Chair / attend 5 Committee and 5 Board meetings on a bimonthly basis. The meetings are a mixture of online and in-person, with the in-person meetings taking place in a central Dublin location. You will also be required to consider all relevant papers prior to each meeting and you may be required to devote additional time to HAIL when it is undergoing a period of particularly increased activity. Committee meetings tend to last one hour and Board meetings two hours.

Competencies / Qualifications required:

  • Extensive experience in a senior role in the financial sector, preferably in the housing or charity sector.
  • An Accounting qualification

Desirable criteria:

  • Prior experience of serving on a Board of Directors.
  • Corporate Governance Experience

HAIL offers:

Your services will be provided pro-bono. HAIL shall reimburse you for all reasonable and properly documented expenses which you incur in performing the duties of Director. You will not be entitled to reimbursement for travel expenses in attending Board or Committee meetings.
